Domestic - Terms and Conditions

Effective Date – 02/01/2024

PRICING: All orders are accepted by ISM with the understanding that prices will be charged based on prices in effect at time of shipment or as quoted. Quoted prices are effective for 30 days only. All prices are subject to change without prior notice.
TERMS: Our terms are Net 30 days for credit approved accounts. Payment is due 30 days after receipt of invoice. We also accept Visa, MasterCard and American Express. Credit card orders and payments will be assessed a 2% surcharge to contribute to credit card fees charged to ISM by third party processors. New accounts are required to complete credit applications. Payment terms will only be set up for new customers with an order amount in excess of $100.00. Smaller orders for new customers must be prepaid by credit card. ISM reserves the right to assess a finance charge of 1.5% on all overdue balances.
ORDER POLICIES: Minimum order is $50.00, minimum scheduled release value of $50.00. Orders valued at $500 or less will ship to the customer when parts are available. All Blanket Orders must be accompanied by a firm release schedule and all releases must be taken within 6 months of the initial release date. Release dates cannot be changed within four weeks of a scheduled ship date.
SAMPLES: Product samples will be made available upon request, if at all possible, free of charge. Customer will be responsible for freight expense.
FREIGHT: All orders will be shipped F.O.B. Englewood, Colorado, freight prepaid and added to invoice unless other arrangements have been made in advance of shipment. All duties and related taxes shall be paid by the customer.
SHORTAGES ― LOSS OR CLAIMS: Claims must be made within 15 days after receipt of shipment, otherwise the ISM order will be considered shipped as invoiced. Care is taken that all products leave our warehouse in good condition. Please refuse any damaged packages. If received, call ISM for further instructions.
RETURNS: Request for returns for credit must be received within 30 days from date of shipment and must be pre-approved by ISM. A return material authorization number must be issued and put on the return packing slip. No cash refunds will be given. Credits issued will expire if not used within one year of issuance. Returns must be freight prepaid. A 25% restocking charge will be assessed on all returns, unless the product was damaged in shipment or has been deemed to be defective by ISM. Special orders or products not produced by ISM are not returnable. All returns must be received in saleable condition and in the original packaging.
SPECIFICATIONS: ISM reserves the right to change the specifications or design of any item shown in our catalog. In addition, we reserve the right to cancel any order if the item is unavailable due to the discontinuation of the product. For ISM medical products, specifications are for pre-sterilized products and are subject to change without notice.
CANCELLATION: Orders for special order products cannot be cancelled without ISM authorization and only upon terms that will indemnify ISM against loss. Cancellation, reduction or change of any order is subject to ISM’s approval.

Limited Warranty
All products provided by ISM are warranted only to the extent of replacing or repairing any product that proves defective in material, workmanship or materials not meeting our specifications; provided it is reported to ISM no later than 30 days after receipt of the non-conforming product. This warranty will not apply for product deterioration, damage or wear which results from accident, abuse or age. Since results in specific applications may vary, it is the responsibility of the customer to test all products and to confirm fitness of ISM products for specific applications. Except as otherwise provided in writing by us, ISM does not make any further warranty, express or implied, in connection with the use of our products. Without limitation, ISM does not provide any implied or expressed warranty of merchantability or fitness for a particular purpose. Under no circumstances shall ISM be liable for lost profits or any other consequential damages even if ISM has been advised of the possibility of such damages. In the event these terms and conditions conflict with customer’s terms and conditions, these terms shall prevail.

International - Terms and Conditions
Effective Date – 03/17/2022

PRICING/SHIPPING COSTS: All orders are accepted by ISM with the understanding that prices will be charged based on prices in effect at time of shipment or as quoted. Quoted prices are effective for 30 days only. All prices are quoted Ex Works, our dock, Englewood, Colorado, USA. All duties and freight are the responsibility of customer.
TERMS: All International shipments must be pre-paid by credit card or bank wire, including an International Handling Fee of $25.00 per order. Credit card orders and payments will be assessed a 2% surcharge to contribute to credit card fees charged to ISM by third party processors. Special payment terms may be available for long time customers of ISM, who establish payment arrangements acceptable to ISM. For prepaid orders, products will be held in our inventory for 30 days awaiting receipt of payment. If no pre-payment is received during that time period, ISM reserves the right to release the products to fulfill other customer orders.

DUTIES: All duties and related taxes shall be paid by the Customer, upon receipt of the international shipment from ISM in the destination country.

INSURANCE REQUIREMENTS: All International orders with a value of $100 or greater must be insured by customer for the value over $100. No claims will be accepted by ISM for losses that would be covered by such insurance, if the customer does not insure the shipment for such value.
